1. Application of these terms
These terms describe the general framework for business use of Bavelgo Restaurant & POS, Workforce & Payroll and Bavelgo Pay. Individual product agreements, checkout terms, applicable data processing terms and relevant payment-provider contracts may supplement them.
2. Business registration and accounts
Business customers must provide accurate registration details, have authority to enter agreements and manage access to their accounts. They are responsible for authorised users and actions performed through those accounts, subject to applicable law and Bavelgo's own duties.
3. Bavelgo's responsibilities
Bavelgo is responsible for its agreed software services, performance of its contractual obligations, appropriate handling of data within its control, and applicable legal duties.
Bavelgo does not exclude responsibility for its own negligence, security failures or contractual breaches where liability cannot lawfully be excluded.
4. Customer business responsibilities
Customers must maintain accurate data, use the software lawfully, administer user permissions and meet obligations arising from their own business activities, including employment, tax and consumer-facing requirements.
5. Restaurant & POS conditions
The restaurant determines its menu, prices, products, applicable taxes, allergen information, inventory, opening arrangements, fulfilment, customer service and applicable refunds.
Bavelgo provides the subscribed software functions for business operations, orders, reservations and point-of-sale management. Responsibility for software defects and service failures is assessed under the applicable agreement and law.
6. Workforce & Payroll conditions
The employer is responsible for lawful employment arrangements, wages, payroll inputs, applicable tax treatment, National Insurance and its statutory obligations to HMRC.
The employer must verify payroll records and submissions. Bavelgo is responsible for any payroll functions expressly included in its contracted service, subject to applicable obligations.
HMRC-related functionality still in testing is not represented as an active production submission service. Customers must not assume that a test or preview submits an FPS or EPS to HMRC.
Workforce & Payroll is software for employee and payroll management, not a substitute for a business accounting service or independent professional tax or legal advice.
7. Bavelgo Pay conditions
Bavelgo Pay provides platform functionality for online payments where enabled and supported by an external payment provider. Payment processing and connected-account relationships may be governed by Stripe's applicable terms.
The merchant is responsible for goods or services supplied to consumers, order fulfilment and customer-facing statutory obligations.
Commissions, transaction charges, settlement timing, refunds, disputes, chargebacks and allocation of liability must match the applicable checkout disclosures, merchant agreement and live payment-provider configuration.
No statement here guarantees that Bavelgo itself is an authorised payment institution or custodian of client funds.
8. Subscription payments
Applicable subscription prices, billing periods, renewal conditions, taxes and cancellation arrangements must be displayed before payment. Specific commercial terms accepted during purchase form part of the applicable customer agreement.
9. Intellectual property
Bavelgo's software, branding and documentation remain subject to applicable intellectual property rights. Customers retain rights to their own information and content. No ownership of customer business records transfers merely through use of the platform.
10. Acceptable use
Users must not attempt unauthorised access, compromise platform security, interfere with other tenants, or use the service for unlawful activity.
11. Data protection
Processing of personal data is subject to the Privacy Policy, applicable data protection law and a Data Processing Agreement when required. Each party retains the responsibilities imposed on it by law.
12. Service changes and maintenance
Features may require maintenance, technical updates or modification. Any contractual notice, availability or service-level commitment is governed by the applicable purchased service.
13. Suspension and termination
Specific suspension, cancellation, data export, termination and post-termination procedures must be communicated in the applicable commercial agreement and must comply with relevant law.
14. Liability and disputes
Neither party is relieved of liability that cannot lawfully be limited or excluded. Any financial liability cap, exclusions or special indemnities must be defined in the applicable contract and reviewed for enforceability.
Contractual complaints and formal enquiries may be initiated through Bavelgo Contact. Applicable dispute-resolution and jurisdiction clauses require contractual confirmation.
15. Official government guidance
HMRC: reporting payroll information.
GOV.UK: sole trader business names.
Data Processing Agreement (DPA)
Annex published: 8 November 2026. Operator: Danilo Rios trading as Bavelgo Groups, United Kingdom.
This annex sets out the proposed data processing terms for customer organisations using Bavelgo to process personal data on their behalf. It forms part of an individual customer contract only when properly incorporated and accepted by the parties. Publication alone does not establish contractual acceptance by an existing customer.
1. Parties and data protection roles
The business customer is the Controller when it determines the purposes and essential means of processing its employees' or customers' personal data. Danilo Rios trading as Bavelgo Groups is the Processor for that processing.
Bavelgo may separately act as Controller of its own account administration, billing, business communications and security processing, as described in the Privacy Policy.
2. Processing details
Subject matter: provision of business software including Restaurant & POS and Workforce & Payroll, to the extent personal data is processed for the customer.
Duration: the applicable service contract and any lawful, documented return, retention and deletion period after termination.
Nature and purposes: hosting, recording, organising, retrieving, displaying, updating and transmitting data where required for the contracted functions.
Data subjects: workers, authorised business users, restaurant customers, reservation holders and other individuals whose data is submitted by the Controller.
Data types: contact information, work schedules, attendance, leave, payroll data, statutory identifiers, order and reservation details, and other records used in the enabled services. Sensitive or special-category data must be specifically assessed when applicable.
3. Documented instructions
Bavelgo shall process Controller personal data only on documented instructions from the Controller, including instructions concerning international transfers, unless processing is required by applicable UK law. Where permitted by law, Bavelgo shall inform the Controller of such legal requirements.
Bavelgo shall promptly inform the Controller if, in its opinion, an instruction infringes applicable data protection legislation.
4. Confidentiality and access
Bavelgo shall ensure that persons authorised to process Controller personal data are subject to appropriate confidentiality commitments or statutory duties and access only the data needed for their authorised functions.
5. Security
Bavelgo shall implement appropriate technical and organisational measures consistent with Article 32 UK GDPR, taking account of risk, the nature of the personal data and the services provided. These may include access restriction, secure authentication, protection in transit, monitoring, backup and recovery procedures, and security testing where appropriate.
Actual implemented controls must be documented and verified; this annex is not a certification or guarantee of any unverified control.
6. Sub-processors
Bavelgo shall not appoint a sub-processor for Controller personal data without prior specific or general written authorisation from the Controller. Where general authorisation applies, Bavelgo shall notify intended additions or replacements and provide a reasonable opportunity to object before the change.
Bavelgo shall impose equivalent applicable data protection obligations on authorised sub-processors by written contract and remains responsible to the Controller for their performance of those obligations.
The actual sub-processor schedule, processing locations and authorisation mechanism require confirmation before this annex is incorporated into a live customer agreement.
7. Individual rights
Taking account of the nature of the processing, Bavelgo shall provide appropriate technical and organisational assistance to enable the Controller to respond to lawful personal data rights requests.
Bavelgo shall promptly refer relevant requests received directly to the Controller, unless prohibited by law.
8. Breaches and regulatory assistance
Bavelgo shall notify the Controller without undue delay after becoming aware of a personal data breach affecting Controller personal data, and shall provide available relevant information to help the Controller assess its obligations.
Bavelgo shall provide appropriate assistance with data security, breach notifications, data protection impact assessments and regulatory consultations, taking account of the nature of processing and available information.
9. International transfers
Restricted international transfers shall take place only on applicable documented instructions and under a valid UK GDPR transfer mechanism where required. Any relevant international data transfer documentation must be completed before the corresponding transfer.
10. Return and deletion
At the end of processing services, Bavelgo shall, at the Controller's choice, return or securely delete Controller personal data and delete remaining copies unless applicable UK law requires retention.
Implementation details, export formats, backup handling and completion times must be specified in the applicable service schedule.
11. Evidence and audits
Bavelgo shall make available the information necessary to demonstrate compliance with its Article 28 obligations and allow for and contribute to audits and inspections by the Controller or an authorised auditor, subject to reasonable security and confidentiality arrangements.
12. Controller responsibilities
The Controller determines the lawful purposes and legal bases, provides required privacy information, ensures data accuracy and issues lawful instructions. The Controller must assess the suitability of processors and comply with its own UK GDPR obligations.
13. Contractual incorporation
The customer-specific description of processing, applicable technical safeguards, sub-processor schedule, transfer arrangements, deletion schedule and acceptance evidence must be finalised before this DPA is relied upon as an executed Article 28 agreement.
